Welcome to emediagroup. These Terms of Service and Conditions of Sale ("Terms") govern your access to and use of our website (emediagrp.com), our online store, digital design tools, quotation systems, and all custom manufacturing, print, and fulfillment contracts executed with emediagroup, Inc. ("emediagroup," "we," "us," or "our").

By placing an order, approving an electronic proof, submitting artwork, or using this website, you agree to be bound by these Terms.

1. Scope of Services & Custom Manufacturing

emediagroup operates an industrial manufacturing, custom printing, and logistics facility based in Greenville, South Carolina. Our core commercial offerings include:

  • Endurance Sports Media: Custom Tyvek® race bib numbers, cycling frame plates, helmet stickers, and race-ready sequence fulfillment.
  • Timing Tag Integration: Professional pre-application and verification of UHF/RFID timing tags (e.g., ChronoTrack, MYLAPS, IPICO, Race Result).
  • Commercial Print & Direct Mail: High-volume digital and offset print solutions, Print on Demand (POD), and Variable Data Printing (VDP).
  • Large Format & Fleet Graphics: Event signage, banners, architectural graphics, and professional vinyl vehicle wraps.
  • Automated Screen Printing: Custom branded apparel, race shirts, and event merchandise.

2. Proof Approval Policy (Critical)

Before entering production, custom jobs require digital proof approval. Your electronic approval (via email, customer portal, or web interface) constitutes an irrevocable authorization to proceed.

  • Customer Verification Responsibility: You are solely responsible for reviewing all elements of the proof—including copy, typography, spelling, phone numbers, QR codes, barcode readability, layout dimensions, sponsor logos, and variable data mapping.
  • Approval is Final: emediagroup is not liable for errors, omissions, or typos present in client-supplied files that were approved by the client on the proof.
  • Production Schedule: Stated production turnarounds begin on the next business day after written proof approval and payment authorization have been received.

3. Color Standards & G7 Master Certification

emediagroup utilizes G7 Master Certified calibration to maintain the highest level of spectrophotometric color consistency across diverse substrates. However, please note the following technical standards:

  • RGB to CMYK Conversion: Computer monitors display colors in RGB (light), whereas commercial presses print in CMYK (pigment). Slight visual variations between illuminated on-screen previews and physical ink-on-substrate products are normal and industry-standard.
  • Substrate Variations: The same ink formulation will render with subtle differences across different materials (e.g., porous Tyvek vs. coated cardstock vs. cast vehicle vinyl vs. polyester apparel).
  • PMS Spot Colors: If precise Pantone (PMS) matching is required, you must specify exact PMS spot color codes in your artwork files prior to proofing.

4. Timing Tag Application & Race Day Services Disclaimer

emediagroup applies UHF/RFID timing tags provided by the client or timing partner directly to manufactured bib numbers using strict 99.9% barcode sequence verification protocols.

  • Not a Timing Service Provider: emediagroup is a media manufacturer and tag application specialist. We are not a race timing company and do not provide race-day timing management, hardware setup, mat reads, or digital scoring services.
  • Sequence Coordination: Event organizers must verify that tag sequences ordered and supplied by their timing contractor match the assigned bib number database submitted to emediagroup.
  • Tag Functionality: emediagroup is not liable for defective RFID chips manufactured by third-party chip suppliers or antenna malfunctions caused by improper handling after delivery.

5. Artwork Ownership & Intellectual Property Indemnity

By submitting artwork, graphics, logos, photos, text, or athlete rosters to emediagroup, you warrant and represent that:

  • You possess full legal rights, title, licenses, and permissions to reproduce all submitted trademarks, copyrighted materials, and intellectual property.
  • The submitted assets do not infringe upon any copyright, trademark, trade secret, or personal privacy right of any third party.
Indemnification Clause: You agree to defend, indemnify, and hold harmless emediagroup, Inc., its officers, directors, employees, and agents from and against all claims, liabilities, damages, costs, and legal fees arising out of or related to any allegation of trademark infringement, copyright violation, or unauthorized use of materials provided by you.

6. Pricing, Quotations & Payment

  • Quote Validity: Written quotes provided by our sales team are valid for 30 calendar days from issuance unless otherwise specified in writing.
  • Payment at Order Placement: Unless Net-30 commercial credit terms have been formally approved in writing, all custom orders and online purchases must be paid in full prior to production.
  • Taxes & Shipping: Prices quoted exclude applicable state and local sales taxes, freight charges, special packaging, and expedited courier surcharges unless explicitly listed.

7. Cancellations, Defects & Return Policy

Because our products are custom-manufactured, individualized (via Variable Data), or cut-to-order for specific events and brands, standard consumer return policies do not apply:

  • Cancellations: An order cannot be canceled or modified once proof approval has been granted and material cutting or printing has commenced. Any pre-production cancellation is subject to fees for prepared proofs, plates, or specially ordered raw stock.
  • Manufacturing Defects & Claims: If a shipment exhibits a verifiable manufacturing defect attributable to emediagroup (such as missing pages, printing misregistration, or sequencing omission), you must notify us in writing within 5 business days of delivery (and prior to event distribution).
  • Remedy: For verified defects, emediagroup reserves the right to expedite a reprint and replacement of the defective portion of the order or issue a corresponding credit.

8. Shipping, Logistics & Force Majeure

We engineer our production workflows for zero-fail accuracy to meet critical event dates. However:

  • Carrier Responsibility (FOB Origin): All shipments travel FOB from our Greenville, SC facility. Once an order is transferred to a third-party commercial carrier (UPS, FedEx, freight logistics), emediagroup is not responsible for transit delays, missed delivery windows, weather disruptions, or carrier-inflicted damage.
  • Force Majeure: emediagroup shall not be held liable for failure or delay in performance caused by acts of God, severe weather, natural disasters, national freight strikes, raw material embargoes, power grid outages, or governmental actions beyond our reasonable control.

9. Vehicle Wrap & Large Format Installation Terms

For custom fleet graphics and vehicle wrap installations performed by emediagroup:

  • Vehicle Surface Condition: Vehicles must arrive thoroughly washed, degreased, and free of wax, ceramic coatings, dirt, and pre-existing vinyl. Additional cleaning fees apply if vehicles require surface stripping.
  • Paint Integrity: Vinyl wraps adhere optimally to OEM factory paint in sound condition. emediagroup is not responsible for paint peeling or clear-coat failure on repainted, rusted, oxidized, or aftermarket surfaces during installation or subsequent wrap removal.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • IN NO EVENT SHALL EMEDIAGROUP, INC., ITS DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF EVENT REVENUE, SPONSORSHIP PENALTIES, RACE CANCELLATIONS, PROMOTIONAL LOSSES, OR BUSINESS INTERRUPTION.
  • EMEDIAGROUP'S ENTIRE AGGREGATE LIABILITY ARISING OUT OF ANY CONTRACT, ORDER, OR USE OF SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY THE CLIENT TO EMEDIAGROUP FOR THE SPECIFIC ORDER GIVING RISE TO THE CLAIM.

11. Governing Law & Jurisdiction

These Terms and all purchase agreements shall be governed by and construed in accordance with the laws of the State of South Carolina, without regard to its conflict of law principles. Any legal action, suit, or proceeding arising under or related to these Terms shall be instituted exclusively in the state or federal courts located in Greenville County, South Carolina.
